Terms of Service
Please read these Terms of Service carefully before using Vexx. These Terms constitute a legally binding agreement between you (or the organisation you represent) and The Hue Factory regarding your use of the Vexx platform.
1. Acceptance of Terms
By accessing or using Vexx ("the Platform"), operated by The Hue Factory, you agree to be bound by these Terms of Service. If you are accepting on behalf of a company or organisation, you represent that you have authority to bind that entity. If you do not agree, do not use the Platform.
2. Description of Service
Vexx is a B2B workflow management platform designed for creative agencies. It provides tools for client management, project tracking, invoicing, contracts, quotes, expense tracking, team collaboration, and financial reporting. The Platform is offered as a subscription-based Software-as-a-Service (SaaS) product.
3. Accounts & Workspaces
You are responsible for maintaining the security of your account credentials. Each workspace represents a single agency or business entity. You may invite team members to your workspace and assign roles (Viewer, Member, Admin, Owner). You are responsible for all activity that occurs under your account. Notify us immediately at support@thehuefactory.co if you suspect unauthorised access.
4. Acceptable Use
You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorised access to any part of the Platform or its infrastructure; (c) transmit malicious code or interfere with the Platform's operation; (d) resell, sublicense, or white-label the Platform without prior written consent; (e) use the Platform to process transactions that violate applicable laws in Ghana or any other jurisdiction where you operate.
5. Payments & Subscriptions
Subscription fees are billed in advance on a monthly or annual basis via Paystack. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account. You are responsible for all taxes applicable to your subscription in your jurisdiction.
6. Your Data
You retain ownership of all data you input into the Platform ("Customer Data"). By using the Platform, you grant The Hue Factory a limited licence to process your Customer Data solely to provide the Service. We do not sell your data to third parties. Upon termination, you may export your data within 30 days. After that period, we may delete your data in accordance with our data retention policy.
7. Intellectual Property
The Platform, including its software, design, logos, and content, is owned by The Hue Factory and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes. Nothing in these Terms transfers ownership of the Platform or its components to you.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that is or becomes publicly available through no breach of these Terms, was known prior to disclosure, or is required to be disclosed by law.
9. Service Availability
We aim for high availability but do not guarantee uninterrupted access to the Platform. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by factors outside our reasonable control, including infrastructure failures, DDoS attacks, or force majeure events.
10. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. The Hue Factory does not warrant that the Platform will be error-free, secure, or meet your specific requirements. Your use of the Platform is at your own risk.
11. Limitation of Liability
To the maximum extent permitted by applicable law, The Hue Factory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform. Our total liability to you for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
12. Termination
Either party may terminate these Terms at any time. We reserve the right to suspend or terminate your access immediately for material breach of these Terms. Upon termination, your right to access the Platform ceases. Sections relating to data ownership, intellectual property, confidentiality, and limitation of liability survive termination.
13. Governing Law
These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana. If you are located outside Ghana, you agree to submit to the jurisdiction of Ghanaian courts for resolution of any disputes.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
